1. Acceptance of Terms
By accessing or using any services provided by ApeliSoltech ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to all the terms, you may not access or use our services.
2. Description of Services
ApeliSoltech provides technical services including but not limited to software development, technical consulting, and related digital services. All services are subject to these Terms and any additional agreements that may apply to specific services.
3. User Responsibilities
As a user of our services, you agree to:
- Provide accurate and complete information when required
- Comply with all applicable laws and regulations
- Not use our services for any illegal or unauthorized purpose
- Not interfere with or disrupt the integrity or performance of our services
4. Payment Terms
Unless otherwise agreed in writing:
- Payment terms will be specified in your service agreement
- We may require upfront payment or deposits for certain services
- Late payments may be subject to interest charges
5. Intellectual Property
Unless otherwise specified in your service agreement:
- We retain ownership of all pre-existing intellectual property
- Upon full payment, you receive a license to use deliverables as specified
- You retain ownership of any materials you provide to us
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information received during the term of service and for 3 years after termination, except as required by law.
7. Limitation of Liability
To the maximum extent permitted by law, ApeliSoltech shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues.
8. Termination
We may terminate or suspend access to our services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use our services will immediately cease.
9. Changes to Terms
We reserve the right to modify these Terms at any time. Your continued use of our services after any changes constitutes acceptance of the new Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.
